Terms of Service

1. Acceptance of Terms

By accessing or using saor.io, you confirm that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using saor.io on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and references to “you” shall include that organization.

2. Description of Service

saor.io is a free, persistent AI memory platform for AI tools and agents. The service provides:

• A REST Brain API that allows AI agents to query structured, persistent context
• An MCP server exposing 10 native brain tools for Claude Code and other agent runtimes
• Absorb capabilities that structure raw text (CLAUDE.md, brand docs, system prompts) into organized brain data
• Tiered memory architecture: identity (protected), operational (AI writes freely), ephemeral (auto-expires)
• Knowledge graph construction with auto-linking of related concepts across memories
• Cross-brain context sharing between brains you own or have access to
• Agent instructions and ethical principles baked into every context pack
• Task-aware context retrieval, recall-weighted ranking, and nightly consolidation cycles
• Performance feedback loop for agents to write outcomes back to the brain

saor.io is currently provided free of charge. There are no paid tiers at this time. If paid features are introduced in the future, we will provide at least 30 days' notice before any charges take effect, and your existing data will not be affected.

We reserve the right to modify, suspend, or discontinue any part of the service at any time with reasonable notice.

3. Accounts & Access

You are responsible for:

• Maintaining the confidentiality and security of your account credentials and API keys
• All activity that occurs under your account, including actions taken by AI agents using your API keys
• Providing accurate and current information
• Notifying us promptly of any unauthorized access or security breach

We may suspend or terminate accounts that violate these Terms, pose a security risk, or remain inactive for extended periods, with or without prior notice depending on the circumstances.

4. Acceptable Use

You agree not to use saor.io to:

• Store or process content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
• Violate any applicable law, regulation, or third-party rights, including intellectual property and privacy rights
• Attempt to gain unauthorized access to the platform, other users' brains, API keys, or any related systems
• Interfere with or disrupt the operation of the service, overload our systems, or launch denial-of-service attacks
• Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of any part of the platform
• Resell, sublicense, or redistribute the service or Brain API access without our prior written consent
• Use the Brain API to circumvent ethical guardrails, safety measures, or content policies
• Use the platform to build competing products or services without our written consent

5. Intellectual Property

Your content. You retain ownership of all content you create, upload, or generate through saor.io. By using the platform, you grant 1Plan LLC a limited, non-exclusive, worldwide, royalty-free license to host, process, store, and display your content solely as necessary to provide and improve the service.

Our platform. saor.io, including its design, code, features, APIs, documentation, and branding, is owned by 1Plan LLC and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or brand elements.

6. AI Processing & Brain Data

saor.io uses third-party AI models (currently Anthropic's Claude) to power brain-building conversations, absorb processing, and knowledge graph construction. You acknowledge and agree that:

• Brain data is structured by AI and may contain inaccuracies, omissions, or errors
• You are solely responsible for reviewing and verifying brain content before relying on it
• Brain API responses are assembled from your stored data and structured by AI processing
• We do not use your brain data to train third-party AI models
• AI-generated structures, summaries, and knowledge graph connections may not accurately reflect your source material
• AI outputs should not be relied upon as legal, medical, financial, or professional advice

7. Brain API & External Access

The Brain API allows external AI agents to query your brain data. You acknowledge and agree that:

• You are solely responsible for securing your API keys and controlling who and what has access to your brain data
• Any agent or system with a valid API key can read brain data within that key's scope
• We log API access for security, usage tracking, and abuse prevention purposes
• You are responsible for any actions taken by AI agents that consume your brain data, regardless of whether those actions were intended
• We may suspend or revoke API access immediately if we detect abuse, excessive load, or violations of these Terms

8. Experimental Technology

saor.io operates at the intersection of AI and persistent memory. The behavior of AI agents consuming brain data is inherently unpredictable. You expressly acknowledge and agree that:

• AI outputs based on brain context may be unexpected, inaccurate, incomplete, or inappropriate
• Memories, knowledge graphs, and context served through the API may influence AI agent behavior in ways that cannot be fully anticipated
• 1Plan LLC bears no responsibility for any AI outputs, agent actions, or downstream consequences arising from the consumption of brain data
• You use this service entirely at your own risk

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. 1PLAN LLC DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DATA STORED WILL BE PRESERVED INDEFINITELY. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM 1PLAN LLC OR THROUGH THE SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED HEREIN.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, 1PLAN LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.

The platform stores and serves structured data. We make no guarantees about the accuracy, completeness, or fitness of brain content for any purpose. Brain data may include AI-generated structures that could contain errors, hallucinations, or misrepresentations of source material. You are solely responsible for verifying and acting on brain data. 1Plan LLC is not liable for any decisions made by you, your organization, or any AI agent based on brain content, knowledge graph data, or context served through the API.

To the fullest extent permitted by applicable law, our total aggregate liability for any and all claims arising from or related to these Terms or the service shall not exceed five hundredths of one US cent ($0.00005). This service is provided free of charge and this liability cap reflects that.

11. Indemnification

You agree to indemnify, defend, and hold harmless 1Plan LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or related to:

• Your use or misuse of the platform
• Content you store, process, or generate in the brain
• Your violation of these Terms or any applicable law or regulation
• Any third-party claims related to your use of brain data or AI-generated outputs derived from brain data
• Your AI agents' actions, decisions, or outputs based on brain context, whether or not those actions were intended or foreseeable
• Any downstream effects of memories, knowledge graphs, context packs, or data served through the Brain API
• Your failure to secure API keys or prevent unauthorized access to your brain data

This indemnification obligation shall survive the termination of your account and these Terms.

12. Termination

You may close your account at any time through your account settings or by contacting us. We may terminate or suspend your access immediately and without prior notice if you violate these Terms, pose a security risk, or engage in conduct that we determine, in our sole discretion, to be harmful to the platform or other users.

Upon termination, your right to use the service ceases immediately. We will retain your data for 30 days following termination to allow for export, after which it will be permanently deleted. We are not obligated to provide any further access to your data after termination.

13. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the service shall be resolved exclusively in the state or federal courts located in the State of California, and you consent to the personal jurisdiction of such courts.

14. General Provisions

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. These Terms constitute the entire agreement between you and 1Plan LLC regarding the service and supersede all prior agreements and understandings.
