1. Acceptance of Terms

By accessing or using saor.io, you confirm that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using saor.io on behalf of an organization, you represent that you have authority to bind that organization.

2. Description of Service

saor.io is a persistent brain infrastructure platform for AI tools. The service provides:

• A REST Brain API that allows AI agents to query structured, persistent business context
• An MCP server exposing 9 native brain tools for Claude Code and other agent runtimes
• Absorb capabilities that structure raw text (CLAUDE.md, brand docs, system prompts) into organized brain data
• Tiered memory architecture: identity (protected), operational (AI writes freely), ephemeral (auto-expires)
• Task-aware context retrieval, recall-weighted ranking, and a nightly consolidation cycle
• Performance feedback loop for agents to write outcomes back to the brain
• Immutable ethical principles and a soul layer baked into every context pack

We reserve the right to modify, suspend, or discontinue any part of the service at any time with reasonable notice.

3. Accounts & Access

You are responsible for:

• Maintaining the security of your account credentials
• All activity that occurs under your account
• Providing accurate and current information
• Notifying us promptly of any unauthorized access

We may suspend or terminate accounts that violate these Terms or remain inactive for extended periods.

4. Acceptable Use

You agree not to use saor.io to:

• Store or process content that is illegal, harmful, threatening, abusive, or harassing
• Violate any applicable law, regulation, or third-party rights
• Attempt to gain unauthorized access to the platform, other users' brains, or API keys
• Interfere with the operation of the service or overload our systems
• Reverse-engineer, decompile, or disassemble any part of the platform
• Resell or redistribute the service or Brain API access without our written consent
• Use the Brain API to circumvent ethical guardrails or safety measures

5. Intellectual Property

Your content. You retain ownership of all content you create, upload, or generate through saor.io. By using the platform, you grant us a limited license to host, process, and display your content solely to provide the service.

Our platform. saor.io, including its design, code, features, and branding, is owned by us and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or brand elements.

6. AI Processing & Brain Data

saor.io uses third-party AI models (currently Anthropic's Claude) to power brain-building conversations and absorb processing. You acknowledge that:

• Brain data you create is structured by AI and may not be perfectly accurate
• You are responsible for reviewing brain definitions before relying on them
• Brain API responses are assembled from your stored data, not generated by AI in real-time
• We do not use your brain data to train third-party AI models
• AI outputs should not be relied upon as legal, medical, financial, or professional advice

7. Brain API & External Access

The Brain API allows external AI agents to query your brain data. You acknowledge that:

• You are responsible for securing your API keys and controlling who has access
• Any agent with a valid API key can read brain data within the key's scope
• We log API access for security and usage tracking purposes
• API rate limits and usage quotas apply per your subscription plan
• We may suspend API access if we detect abuse or violations of these Terms

8. Payment & Billing

Paid plans are billed in advance on a monthly or annual basis. Payments are processed through Stripe. You agree to provide valid payment information and authorize recurring charges.

• Prices may change with 30 days' notice
• Refunds are handled on a case-by-case basis
• Failure to pay may result in service suspension
• You are responsible for any applicable taxes

9. Limitation of Liability

To the maximum extent permitted by law, saor.io and its founders, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of or inability to use the service.

Our total liability for any claims arising from these Terms or the service shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Termination

You may close your account at any time through your account settings or by contacting us. We may terminate or suspend your access if you violate these Terms, with or without notice depending on the severity of the violation.

Upon termination, your right to use the service ceases immediately. We will retain your data for 30 days to allow for export, after which it will be deleted.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which saor.io operates, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration or in the courts of that jurisdiction.
